Andy is an experienced corporate/securities attorney, and a Partner at Summit Law Group in Seattle. 

Andy helps emerging growth businesses throughout their entire life cycle.

M&A: Andy delivers practical, seasoned advice to his customers on the full spectrum of issues that arise in connection with a merger or acquisition, including providing advice related to the decision to buy or sell; selection of advisors (bankers, accountants, etc.); board duties and obligations, shareholder relations and approval requirements; due diligence; negotiation of terms (including structure, earn-outs, indemnification and other key matters); preparation of definitive agreements; negotiation of key employee matters; and closing and post-closing matters.

Public Companies: Andy works with public companies and companies going public with respect to SEC reporting (Forms 10-K, 10-Q, 8-K, etc.), drafting proxy statements and managing annual meetings, advising boards of directors and committees on corporate governance, fiduciary duties and Delaware and Washington corporate law, and conducting securities transactions and other corporate and securities advice.

Startups and Private Financings: Andy advises technology companies with regards to formation, issuance of founders’ stock, and other initial startup matters. Andy also conducts friends and family, angel, VC and other types of private financings involving the issuance of convertible notes, SAFEs, preferred stock and common stock.

Throughout his career, Andy has advised clients on M&A, VC and IPO transactions valued in the billions of dollars. Before joining Summit in summer 2012, Andy was an associate in the Seattle office of Wilson Sonsini Goodrich & Rosati.
