  • Startups: We advise on the appropriate company structure, issuance of founders’ stock, intellectual property protection, and positioning the company for future growth.

  • Financing: We routinely help emerging and established companies issue debt and equity securities in “friends and family,” angel, venture capital, strategic, and private equity rounds of financing.

  • Growth: We provide guidance on equity compensation, licensing arrangements, commercial contracts, intellectual property and various employment matters.

  • Mergers and Acquisitions: We deliver practical, expert advice to our customers on the full spectrum of issues that arise in connection with a merger or acquisition, including providing advice related to the decision to buy or sell; selection of advisors (bankers, accountants, etc.); board duties and obligations, shareholder relations and approval requirements; due diligence; negotiation of terms (including structure, earn-outs, indemnification and other key matters); preparation of definitive agreements; review of employee benefits; and closing and post-closing matters.

  • Going Public: We counsel companies and underwriters on all matters related to pre-offering preparation, registration, corporate governance, due diligence, and stock exchange listing in connection with IPOs, follow-on registered offerings, and PIPEs.

  • Public Reporting and Corporate Governance: We are primary outside counsel to public companies listed on U.S. stock exchanges, and advise with respect to ’34 Exchange Act reporting, board and shareholder relations, governance committees, SEC and stock exchange rule compliance, proxies, and insider trading matters.
