Summit’s technology transactions team works closely with its customers’ business and legal teams in order to put in place commercial transactions that address not only our customers’ legal needs, but their commercial and operational requirements as well. We provide counsel to customers in connection with software and hardware development, and reseller and sales channel agreements for software, hardware, technology products and services. Our deep experience with business process outsourcing includes assistance in the RFP process, as well as negotiating complex services agreements in a wide range of industries. Summit has developed particular expertise with telecommunications and IP transport agreements and with data center and colocation agreements.
We have successfully negotiated agreements with the world’s major telecommunications providers for the full range of telecommunications, IP transport and related services (voice, peering, VOIP, managed services, fiber leases, intelligent call routing, etc.). Our customers rely on our ability to dive into the technical aspects of such agreements and provide them with knowledgeable counsel on pricing, technical specifications, and service level agreements, as well as with legal provisions such as indemnification and warranties.
Summit’s technology transactions team has significant and meaningful experience in drafting and negotiating transactions for software procurement and development. We have assisted Fortune 500 companies with acquiring and licensing technology for their core business activities, including large-scale software, and services and telecommunications procurement initiatives (worldwide and domestic). We have supported customers with custom development, joint development, software as a service, and the full range of related services (including support, implementation, maintenance, and managed/outsourced services). Summit also assists customers with their go-to-market strategies and the contracts, channel and reseller agreements, marketing, customer support, and vendor relationships that support those strategies.
Our experience as business professionals with P&L responsibilities gives us particular insight into our customers’ needs, and we take pride in drafting detailed, enforceable agreements that truly reflect our customers’ priorities without “over-lawyering” or going beyond what is appropriate or necessary for a given transaction.
