Business
At Summit, business law is personal – every customer receives personal attention from senior attorneys who bring deep experience to the matters at hand. We don’t believe in over-staffing, or using our customers’ work to train junior staff. Instead, we deliver knowledgeable business counsel with a keen eye toward finding practical solutions. Our corporate and securities customers range in size, from startups to global businesses, and encompass a wide range of industries, including technology, life sciences, manufacturing, financial services, retail, and consumer products. In each case, our attorneys have a direct, ongoing relationship with the customer.
In our startup and emerging-company practice, we offer legal counsel on all major milestone events, from formation to potential exit scenarios. As part of this practice, we commonly help growing companies issue debt and equity securities to “friends and family,” angel investors, strategic investors, private equity investors, and venture capital firms. We also provide guidance on entity structuring, equity compensation, licensing arrangements, commercial contracts, intellectual property, and employment matters. At every stage of a company’s growth cycle, we provide ongoing guidance in all areas that involve protecting company assets and supporting corporate expansion. This includes careful attention to the ownership, license, and transfer of intellectual property, corporate governance, and securities law compliance.
In addition to financings, our group has considerable experience in handling virtually all sizes and types of business transactions, including mergers and acquisitions, strategic alliances, joint ventures, and initial and follow-on public offerings. We provide practical, expert advice to our customers on the negotiation of terms, tax analysis, due diligence, earn-outs, and other post-closing matters.
Summit has a long history of representing publicly traded companies – in all aspects of their securities law responsibilities, including SEC reporting, insider trading, corporate governance, and other compliance issues. We have also represented investment bankers and various financial intermediaries in public offerings and other significant transactions.
