Overview
Ada Danelo concentrates their practice on real estate and business transactions. Serving primarily small- and medium-size entities, Ada advises local, regional and international companies on a range of corporate and commercial matters.
Ada is a pragmatic problem solver who takes pride in finding creative and efficient solutions and closing deals quickly. A former business owner, Ada is passionate about helping businesses succeed. They work to be a strategic partner with their clients, providing direct and practical advice to advance your goals and flag issues you may not have considered.
Real estate transactions. Ada represents clients in negotiating and documenting:
- Leases, with a specialty in medical, biotechnology, and restaurants
- Lease renewals and amendments
- Lease terminations and workouts
- Purchases and sales of real property
- Construction agreements, including AIA documents
- Property management matters
- Real estate financing
- Landlord-Tenant disputes
Corporate law. Thoroughly experienced in the needs of both start-up and established companies, Ada provides counsel on:
- Business formation and ideal jurisdictions
- Corporate governance: setting your business up in a way that minimizes future risk of dispute
- Asset protection and strategies
- Contracts and service agreements: negotiating master service agreements, contractor agreements, and general contracts
- Helping individuals investing in private companies determine whether the investment is sound
- Helping private companies raise funds, including with SEC compliance in private equity offerings
- Mergers & acquisitions: selling and buying businesses
- Succession planning: helping owners plan for retirement, and selling homegrown businesses to employees
- Business breakups: review of governing documents to determine your best path forward, and strategic advice in negotiations
Deeply involved with legal, policymaking, and other civic and charitable organizations, Ada focuses on issues involving intersectionality and the identification and promotion of common ground among diverse communities. Ada has also provided pro bono counsel in affirmative asylum cases and related matters.
Outside of the office, Ada can be found backcountry skiing, climbing mountains, and harvesting wild mushrooms.
